Welcome to ZentroAI. These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to update these Terms at any time, and your continued use of our Services constitutes acceptance of any changes.

Our Services

ZentroAI provides AI-powered marketing and growth services for local businesses, including but not limited to:

• Phase 1 - Visibility: Local SEO optimization, Google Maps ranking services, review management, and citation cleanup
• Phase 2 - Authority: Website development, competitive intelligence (Zentro Recon System), and data-backed advertising campaigns
• Phase 3 - Autonomy: AI Voice Receptionists, lead capture automation, CRM integration, and workflow systems

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

Top 3 Ranking Guarantee

Our "Top 3 Google Maps Ranking Guarantee" is subject to the following conditions:

• Applies only to Phase 1 (Visibility) services when explicitly stated in your service agreement
• 90-day timeline begins from the start of active service delivery
• Client must maintain active service and follow our recommendations
• Rankings are measured for agreed-upon primary keywords in your local service area
• If top 3 ranking is not achieved within 90 days, we will continue working at no additional cost until achieved

Market competitiveness, current business standing, and adherence to Google's guidelines may affect timeline and results. We do not guarantee results in markets deemed non-viable during initial assessment.

User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Respond to our requests for information in a timely manner
• Not use our Services for any unlawful or prohibited purpose
• Not interfere with or disrupt the Services or servers

Payment Terms

Payment terms will be outlined in your specific service agreement. Generally:

• Services are billed monthly or quarterly as specified in your agreement
• Payment is due on the date specified in your invoice
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated in your service agreement

Cancellation and Termination

Either party may terminate services according to the terms specified in your service agreement. Generally:

• Clients must provide 30 days' written notice to cancel services
• We reserve the right to terminate services for breach of these Terms
• Upon termination, you remain responsible for all fees incurred prior to termination
• We will provide reasonable assistance with transition upon termination

Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and proprietary systems (such as the Zentro Recon System), are owned by ZentroAI and are protected by intellectual property laws.

Work product created specifically for your business (such as website designs, ad creative, and custom content) becomes your property upon full payment, subject to our right to use such work for portfolio and marketing purposes.

Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive for excellence and guarantee specific results where stated, we cannot guarantee:

• Uninterrupted or error-free service
• Specific revenue increases or business outcomes
• Results from third-party platforms (Google, social media, etc.)

Limitation of Liability

To the maximum extent permitted by law, ZentroAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount paid by you to ZentroAI in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless ZentroAI and its employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your content or business practices

Dispute Resolution

In the event of any dispute arising from these Terms or the Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the new Terms.
